Terms of Service

In short: the Apex Community cockpit is early software that we offer as it is. You own your content, you stay in charge of your own keys and cloud accounts, and you agree to use it responsibly. These terms are plain-English drafts of the agreement between you and us.

The service

These terms are between you and Sarala AI (OPC) Private Limited (CIN U62011AP2026OPC128608), “we” or “us”. They cover the Apex Community cockpit, a hosted workspace in which organisations bring their own model keys and cloud projects and run agents and workflows, the design tool we host alongside it, and our websites at sarala.ai and getapex.dev (together, the “service”). By creating an account or using the service you agree to these terms and to our Privacy Policy. If you do not agree, please do not use it.

Alpha and community status

The service is an early, community release. It is provided for you to try and to build on, not as a finished or guaranteed product.

  • It may contain errors, change without notice, be interrupted, or be withdrawn in whole or in part.
  • We do not promise any level of availability, support or response time, and we give no uptime commitment.
  • Data may be lost or become unavailable. Keep your own copies of anything important, including your code and your configuration.
  • We may introduce paid plans in future. We will not charge you for what you are already using without telling you first and getting your agreement.

Accounts and organisations

  • You must be at least 18 and able to enter a binding contract. If you use the service for an organisation, you confirm you may bind it.
  • Give accurate information and keep it up to date. Keep your sign-in methods secure. You are responsible for everything done through your account.
  • Access to the Community service may be limited, for example to invited users. We decide who may sign up.
  • An organisation’s administrators decide who belongs to it and what members may do. Administrators are responsible for their members’ use of the organisation’s resources, keys and connected accounts.
  • Do not share an account between people, and do not create accounts to avoid a suspension.

Acceptable use

You agree not to use the service to:

  • break any law, or infringe anyone’s rights, including intellectual property and privacy rights;
  • create, store or spread malware, or content that is unlawful, deceptive or harmful;
  • attack, probe or disrupt the service, other users, or any other system, or try to get around limits, access controls or billing;
  • access another user’s or organisation’s data or resources without permission;
  • send spam, run phishing, or harass anyone;
  • use the service to build a competing service by scraping or copying it at scale, or resell access to it, without our written agreement;
  • break the terms of the services you connect, such as your model provider or your cloud provider;
  • misuse compute in any of the ways listed in the section “Compute, sandboxes and agent runs” below.

We may remove content or limit use that we reasonably believe breaks these rules.

Compute, sandboxes and agent runs

Agents and workflows in the service may run code that you, your agents or the tools they use choose to run. Running code and running agents uses shared machines and costs money, so please read this section with care.

Compute is a limited resource, not a right

  • Sandboxed code execution and agent runs are metered, limited resources. Using the service does not entitle you to any amount of compute.
  • We give no guarantee of availability, speed, capacity or throughput. Runs may be queued, slowed, refused or stopped.
  • Fair-use limits and per-organisation limits may apply, for example on how many runs can happen at once, how long a run can last, how much processor, memory and storage a run can use, and how much a run can store. We set these limits, we may set or change them at any time, and the platform enforces them. We do not promise any particular limit.
  • Hosted runs may not be available to every organisation at all times.

Prohibited uses of compute

You must not use sandboxes or agent runs to:

  • mine cryptocurrency;
  • send spam or run phishing;
  • scan or attack other people’s systems or networks;
  • carry out denial-of-service attacks or generate floods of traffic;
  • run a public service, proxy, relay or tunnel from a sandbox;
  • host or distribute content that is unlawful or that these terms forbid;
  • get around limits, metering or isolation, or try to escape a sandbox, reach other tenants or reach our infrastructure;
  • run work that is unrelated to building the product your organisation is using the service for.

If you find a way around a limit or out of a sandbox, please report it under our Security page rather than use it.

What we may do to protect the platform

  • We may throttle, pause or terminate any run, and delete the contents of a sandbox, at any time.
  • We may suspend an organisation or an account immediately and without prior notice if we reasonably believe it is needed to protect the platform, other tenants or anyone else, or because of suspected abuse.
  • We may look at run metadata, such as when runs happen, how long they last, the resources they use and which organisation they belong to, to detect abuse. We do not look at the content of runs for that purpose.
  • Anyone can report abuse of the service to team@sarala.ai.

What stays with you

  • Code runs in sandboxes that are separated from other users and from our systems. Sandboxes are hardened but they are not a guarantee of isolation, and the Community service is early.
  • A sandbox can see the keys, credentials and secrets that you give to that run, and the code in it can usually reach the internet. Only provide credentials that you are content for that code to use, and give them the narrowest permissions that will work.
  • Your organisation is responsible for all costs on its own model keys, cloud accounts and connected projects, and for everything its agents and runs do with them, including calls to other systems and anything they create, change or delete.
  • Sandbox output, and anything an agent runs or produces, is your organisation’s responsibility.

Your keys and cloud accounts

The cockpit works with accounts and keys that belong to you or your organisation, not to us.

  • You bring your own model provider keys and your own cloud projects. You are responsible for all charges, quotas, usage and consequences on those accounts, including anything an agent does with them.
  • You are responsible for keeping your keys safe, for the permissions you grant, and for revoking access you no longer want to give. We encrypt the keys you store, but you remain responsible for them.
  • Agents act with the access you give them. The service shows a plan before it applies changes. Please read it, and approve only what you understand.
  • You confirm that you are allowed to use, and to give us access to, each key and account you connect, and that you will follow the terms of those providers.
  • We are not responsible for costs, losses, outages or changes on accounts that you connect, or for provider decisions such as suspension, rate limits or price changes.

Your content

  • You keep ownership of everything you put into the service: your code, designs, prompts, data and settings (“your content”). We claim no ownership of it.
  • You give us a limited, worldwide, non-exclusive licence to host, store, process, copy and display your content, only as needed to provide and secure the service for you and your organisation, and to follow the law. This licence ends when your content is deleted, except for the copies described in the Privacy Policy, such as backups and audit records.
  • You confirm you have the rights needed to put your content in the service and to give this licence, and that it does not break the law or anyone’s rights.
  • Output produced by AI models may be wrong, incomplete, or similar to other output. You are responsible for checking it before you rely on it. Rights in the output depend on the law and on your provider’s terms.
  • If you send us feedback or suggestions, we may use them freely to improve the service, without owing you anything.

Our software and brand

The service, its design, and the names and marks Sarala AI and Apex belong to us or our licensors. These terms give you the right to use the service, not to own any part of it, or to use our names and marks except to refer to us fairly. Open-source components in the service stay under their own licences.

Third-party services

The service works with services run by others, such as GitHub, Google, model providers and cloud providers. They are not ours, and their own terms and privacy policies apply when you use them. We are not responsible for them, and we may stop supporting a connection at any time.

Suspension and ending

  • You can stop using the service at any time. To have your data removed, follow the deletion steps in the Privacy Policy.
  • We may suspend or end your access, or an organisation’s, if you break these terms, if we reasonably think it is needed to protect the service, other users or the law, if you stay inactive for a long time, or if we stop offering the service. For abuse of compute or other risks to the platform, we may do this immediately and without notice. In other cases, where we can reasonably do so, we will tell you why and give you a chance to take your content out first.
  • When access ends, your right to use the service ends. Sections that by their nature should continue, such as those on content ownership, disclaimers, liability and governing law, continue.

Disclaimers

To the fullest extent the law allows, the service is provided “as is” and “as available”, with no warranties of any kind, whether express or implied. That includes any warranty that it will be uninterrupted, error-free, secure, or suited to a particular purpose, and any warranty about the accuracy or reliability of AI output. We do not promise that agents, workflows or plans will do what you intend.

Limits on liability

  • To the fullest extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data, goodwill or business, or for costs on accounts you have connected, arising from your use of the service.
  • Our total liability for any claim relating to the service is limited to the greater of the amount you paid us for the service in the 12 months before the claim and INR 1,000.
  • Nothing in these terms limits liability that the law does not allow to be limited.
  • You agree to cover losses and claims from third parties that arise from your content, from your breach of these terms, or from what you or your agents do with the keys and accounts you connect, to the extent the law allows.

Governing law

These terms are governed by the laws of India. Courts of competent jurisdiction in India will have jurisdiction over any dispute about them. Before starting a formal claim, please write to us at team@sarala.ai so that we can try to resolve it informally.

Changes

We may change these terms, for example as the service develops. We will change the date at the top and, for material changes, give notice in the service or on our websites before they take effect. If you keep using the service after a change takes effect, you accept it. If you do not accept it, you should stop using the service.

General

  • These terms, with the Privacy Policy, are the whole agreement between you and us about the service.
  • Any custom work we do for you or your organisation, beyond using the service as it is offered, is covered by a separate written agreement and not by these terms.
  • If part of these terms cannot be enforced, the rest still applies.
  • If we do not enforce a right straight away, we have not given it up.
  • You may not transfer your rights under these terms without our consent. We may transfer ours to a successor of the business.
